The Financial Services Authority (OJK) specifically regulates Issuer or Public Company Websites through the Financial Services Regulation (POJK) Number 8/POJK.04/2015.

This regulation was issued in order to increase transparency and improve access of shareholders and other stakeholders to actual and up-to-date information on issuers or public companies. The regulation is also intended as a principle of good corporate governance by issuers or public companies.

Issuers or Public Companies must have a website created with due observance of laws and regulations, the website must have a website address that reflects the identity of the Issuer or Public Company. In addition, the information presented must be in Indonesian and a foreign language, at least in English, where both have the same information.

Websites owned by Issuers or Public companies must contain Information about Issuers or public companies that is open to the public, actual and up-to-date which is presented correctly. The information that is made must also be presented clearly, not misleading about the condition of the company, easy to understand and can be accessed at any time by all parties.

Information that must be included on the company’s website at least includes:

  1. General Information of Issuers or Public Companies, at least contains:

– corporate identity such as name, address, head office contact and/or representative office of the Issuer or Public Company;

– the address of the factory, if any, which includes at least a telephone number, facsimile number and e-mail address where you can be contacted;

– brief history of the Issuer or Public Company;

– Organizational structure of the Issuer or Public Company;

– Issuer or Public Company ownership structure

– Issuer or Company group structure in chart form, at least includes companies in the Issuer or Public Company group that are under the supervision of the Financial Services Authority (OJK)

– Profiles of the Board of Directors, Board of Commissioners, committees and Corporate Secretary at least include: Photo, Name, Position history including multiple positions, Educational History, affiliation

– Name Address :

  1. Public Accountant who audits the financial statements of Issuers or Public Companies in the current year;
  2. Securities Rating Agency (if any);
  3. Trustee (if any); and/or
  4. Securities Administration Bureau (if any);

– Articles of association document

 

  1. Information for investors or investors, at least contains:

– Public offering prospectus

– the company’s annual report containing information for the last 5 (five) periods or financial year; And

– a summary of important financial data, presented in comparative form for the last 5 (five) financial years, at least containing:

  1. income;
  2. gross profit;
  3. profit and loss);
  4. total profit (loss) attributable to owners of the parent entity and non-controlling interests;
  5. total comprehensive profit (loss);
  6. total comprehensive profit (loss) attributable to owners of the parent entity and non-controlling interests;
  7. earnings (loss) per share
  8. total assets;
  9. amount of liability;
  10. total equity;
  11. ratio of profit (loss) to total assets;
  12. profit (loss) to equity ratio; m) profit (loss) to revenue ratio;
  13. current ratio;
  14. liability to equity ratio;
  15. ratio of liabilities to total assets; And

p.s. information and other financial ratios that are relevant to the company and the type of industry

– information on the General Meeting of Shareholders (GMS), at least includes:

  1. announcements and summons;
  2. agenda items discussed at the General Meeting of Shareholders;
  3. curriculum vitae of prospective members of the Board of Directors and Board of Commissioners if there is an agenda for appointment or replacement of members of the Board of Directors and Board of Commissioners; And
  4. summary of the minutes of the General Meeting of Shareholders;

– stock information, at least includes:

  1. number of shares outstanding;
  2. stock split (if any);
  3. merger of shares (if any);
  4. bonus shares (if any); And
  5. change in nominal value of shares (if any)

– Dividend Information

– information regarding corporate actions taken by Issuers or Public Companies and actions taken by other parties against Issuers or Public Companies (if any)

– Material information or facts other than those disclosed in the Financial Services Authority Regulations.

 

  1. Corporate governance information includes:

– work guidelines for the Board of Directors and the Board of Commissioners;

– appointment, dismissal, and/or vacancy of the Corporate Secretary, including the temporary Corporate Secretary, as well as supporting information;

– Internal Audit Unit Charter;

– code of Ethics;

– committee work guidelines;

– appointment and dismissal of members of the Audit Committee;

– description of Nomination and Remuneration procedures, if no Nomination and Remuneration Committee is formed;

– risk management policies;

– policies on the violation reporting system mechanism (if any);

– anti-corruption policy (if any);

– policies related to supplier selection and creditor rights (if any); And

– policies on vendor capacity building (if any).

 

  1. Corporate social responsibility information, such as:

– Information regarding corporate social responsibility at least contains policies, types of programs, and costs incurred by Issuers or Public Companies.

– Policies, types of programs and fees disclosed on the web regarding aspects of:

  1. environment;
  2. employment, health and safety practices;
  3. social and community development; And
  4. product and/or service responsibility, accompanied by supporting information.
